Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at www.talonbuilt.com and any related pages, content, forms, or communications (collectively, the "Site") operated by Talon Construction ("Talon," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. About Talon and These Terms

Talon Construction is a construction management firm headquartered in Salt Lake City, Utah, and operates as a national construction management platform. These Terms apply only to your use of the Site. Any actual construction management, preconstruction, design-build, development, or related professional services that Talon may provide are governed by a separate, written agreement between Talon and the applicable client. Nothing on the Site constitutes an offer, bid, proposal, or binding commitment by Talon to perform any work, deliver any service, or enter into any agreement.

2. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract to use the Site. By using the Site, you represent and warrant that you meet these requirements.

The Site and all of its contents — including text, graphics, logos, marks, images, photographs, illustrations, videos, designs, layout, source code, and the selection and arrangement thereof — are owned by Talon Construction or its licensors and are protected by United States and international copyright, trademark, trade dress, and other intellectual property laws. "Talon," "Talon Construction," "Talon Built," the talon mark, and related logos are trademarks of Talon Construction. You may not copy, reproduce, modify, distribute, publicly display, publicly perform, republish, download, store, or transmit any content from the Site except: (a) your browser may temporarily store copies in RAM incidental to your access and viewing; (b) you may store files automatically cached by your browser; and (c) you may print or download a reasonable number of pages for your own personal, non-commercial use, provided you do not modify them and retain all copyright and proprietary notices.

5. Submissions and Communications

Any inquiry, project information, message, suggestion, idea, or other material you submit to Talon through the Site, by email, by phone, or otherwise (collectively, "Submissions") will be treated in accordance with our Privacy Policy. You represent and warrant that any Submission is accurate, that you have the right to provide it, and that it does not infringe any third-party right or violate any law. By making a Submission, you grant Talon a worldwide, non-exclusive, royalty-free, perpetual license to use, store, and process the Submission for the purpose of responding to your inquiry and conducting our business, subject to applicable law and our Privacy Policy. Do not send confidential, proprietary, or sensitive information through the Site or by unencrypted email; transmission of such information is at your own risk.

Content on the Site is provided for general informational purposes only and does not constitute construction, engineering, architectural, legal, financial, tax, or other professional advice. Construction methods, codes, permitting requirements, schedules, costs, and conditions vary substantially by jurisdiction, project, and circumstance. You should not act or refrain from acting on the basis of any content on the Site without obtaining advice from qualified professionals familiar with the specific facts of your project.

7. No Offer; No Contract

Nothing on the Site — including service descriptions, capability statements, project lists, pipeline information, pricing references (if any), case studies, or stated experience — constitutes an offer to perform work or enter into a contract. Any engagement of Talon for construction management, preconstruction, development, or related services is effective only upon execution of a written agreement signed by an authorized representative of Talon. Statements regarding pipeline, active engagements, and future capability are forward-looking and subject to change.

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Talon. We provide these links for convenience only and do not endorse, sponsor, or assume any responsibility for the content, privacy practices, or operation of any third-party site. Your use of any third-party site is at your own risk and subject to that site's terms and policies.

9. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION ON OR ACCESSIBLE THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TALON DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. TALON DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. ANY RELIANCE YOU PLACE ON THE SITE OR ITS CONTENT IS STRICTLY AT YOUR OWN RISK.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TALON, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, MEMBERS, PARTNERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE, ANY CONTENT ON THE SITE, OR THESE TERMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT TALON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL TALON'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO PORTIONS OF THIS LIMITATION MAY NOT APPLY TO YOU; IN SUCH CASES, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to defend, indemnify, and hold harmless Talon Construction, its affiliates, and their respective officers, directors, members, partners, employees, agents, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of any third party.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices regarding the collection, use, and disclosure of information.

13. Changes to the Site and to These Terms

We may update, suspend, change, or discontinue the Site (or any part of it) at any time, with or without notice. We may also revise these Terms from time to time in our sole discretion. The revised Terms will be effective when posted unless we state otherwise. Your continued use of the Site after the revised Terms are posted constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

14. Termination

We may suspend or terminate your access to the Site, in whole or in part, at any time and for any reason, including for any violation of these Terms. All provisions of these Terms that by their nature should survive termination — including, without limitation, sections relating to intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will so survive.

15. Governing Law and Venue

These Terms and your use of the Site are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Except for matters that must be resolved in a different venue under applicable law, any action or proceeding arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Salt Lake County, Utah, and you irrevocably consent to the personal jurisdiction and venue of those courts.

16. Informal Resolution

Before filing any claim arising out of or relating to these Terms or the Site, you agree to attempt to resolve the dispute informally by contacting us at info@talonbuilt.com. We will attempt in good faith to resolve any dispute within thirty (30) days of receiving notice.

17. No Waiver; Severability

No waiver by Talon of any term or condition set out in these Terms will be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision will be eliminated or limited to the minimum extent so that the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Talon regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties — both written and oral — regarding the Site. Any services performed by Talon under separate written agreement are governed by that agreement, which controls in the event of any conflict with these Terms with respect to those services.
